This website is owned and operated by Taniic Pets LLC. (“Taniic Pets”, “we”, “us” and “our”).  These Terms of Use (“Terms of Use” or “Agreement”) constitute an agreement between you (“you” and “your”) and Taniic Pets and set forth the legally binding terms of your use of this website and other platforms and interactive properties, including but not limited to websites and mobile applications (collectively, the “Applications” or “Apps”), and any information, content, materials and/or data provided or given access by Taniic Pets to you in either print or digital formats (“Content”), whether or not login-in, registration and/or a subscription fee is required to access the Applications or Content. By accessing or using the Applications or Content (collectively, the “Service”), you signify your assent to these Terms of Use.  The terms “you” and “your” means you, your agents and affiliates, if any, and any other person accessing your Taniic Pets Account.

THIS AGREEMENT AFFECTS YOUR LEGAL RIGHTS AND OBLIGATIONS.  IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THE TERMS OF USE SET FORTH IN THIS AGREEMENT, DO NOT ACCESS OR USE THE SERVICE.

Your acceptance of, and compliance with, these Terms of Use is a condition to your use of the Service.  By accessing or using in any manner the Services, you hereby agree that you are at least eighteen (18) years of age and you acknowledge that you have read and agree to be bound by these Terms of Use.  Please also consult our Privacy Policy for a description of our privacy practices and policies, including how we collect and handle your personal information.  The terms of the Privacy Policy are incorporated within the terms of this Agreement.  If you do not agree to be bound by these terms, you are not authorized to access or use this Service.

1.      SERVICES

Taniic Pets provides online retail services for the purchase of pet supplies for pets, service animals, and farm and ranch animals (referred to as “Pet”).  Taniic Pets provides possible options for you to arrange the delivery of your purchased items by an independent third-party driver (“Third Party Driver”).  In addition, Taniic Pets also provides possible options for veterinary clinics or veterinary hospitals near your location if your pet is in need of such a service.  Under your Account, you may book an appointment with any local veterinary clinic or veterinary hospital of your choice and Taniic Pets may connect you with a Third-Party Diver who may provide delivery services of your Pet to such veterinary clinic or hospital and delivery services of your Pet back to the assigned location in your Account.

2.      TANIIC PETS LICENSE

Taniic Pets hereby grants you a personal, worldwide, non-transferable, non-exclusive, terminable license to view and use the Application.  The license granted to you is conditioned upon your proper conduct and compliance with this Agreement at all times, as determined by Taniic Pets in its sole discretion

3.      CONTENT

All information and content available on the Service (collectively, “Content”) is protected by intellectual property laws.  The Content is owned by Taniic Pets.  The Content is intended for the information, education, and promotion of the Services offered by Taniic Pets.  While you may interact with the Content you may not reproduce, sell, publish, distribute, modify, display, perform, re-post or otherwise use any portion of the Content in any other way or for any other purpose without the prior written consent of Taniic Pets.

4.      YOUR ACCOUNT

In order to access some features of the Service, you may be required to register for and create an account (an “Account”).  When creating, registering for, or updating an Account, you are required to provide us with certain personal information, including your first and last name, e-mail address, username, and password.  This information will be held and used in accordance with our Privacy Policy at https://taniicpets.com/privacy-policy.  If you provide any information that is untrue, inaccurate, not current, or incomplete, or Taniic Pets has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Taniic Pets has the right to suspend or terminate your account and refuse any and all current or future use of the Taniic Pets Service (or any portion thereof).  You are responsible for maintaining the confidentiality of the password and you are fully responsible for all activities that occur under your Account.  You agree to immediately notify Taniic Pets of any unauthorized use of your password or Account or any other breach of security.

5.      YOUR USE OF THE SERVICE

When you use the Service, you represent and agree to the following:

  1. You are at least eighteen (18) years old or the age of majority in your jurisdiction;
  2. You have the authority and capacity to enter into and be bound by this Agreement;
  3. You will not use the Services to communicate expressions of hatred, bigotry, racism, obscenity, pornography or other objectionable speech;
  4. You will not upload or use the Service with material that is explicit, harassing, abusive, threatening, obscene, pornographic, defamatory, or libelous;
  5. You will not upload or use the Service to share viruses, spyware, or any other computer code, files or programs designed to interrupt, destroy, affect, hinder or limit the functionality of the Service or any other operations of Taniic Pets;
  6. You will not use the Service in a way that violates any state, federal, or international laws or regulations;
  7. You will not communicate with Taniic Pets employees or customer service agents, or any Third-Party Drivers in a manner which is abusive, obscene, untrue, or misleading;
  8. You will not interfere with, disrupt or circumvent any security feature of the Service or any feature that restricts or implements limitations on the use of or access to the Service;
  9. You will not attempt to get password, account information or other private or personal information from another user or from Taniic Pets;
  10. You will not reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code or object code for any underlying software or other intellectual property used in the Service, or to obtain any information from the Service using any method not expressly permitted by Taniic Pets; and
  11. You will not upload content that you do not have rights to use or that infringe the copyrights, trademarks or other intellectual property rights of Taniic Pets or any third party.

You acknowledge that Taniic Pets may or may not pre-screen content in the Service provided by other users or third-parties. You agree that you must evaluate, and bear all risks associated with any content, including the accuracy, completeness, or usefulness of such content, and including whether you find such content to be bigoted, racist, obscene, pornographic, or otherwise objectionable.

You may report content that you believe to be objectionable to Taniic Pets.  Taniic Pets, in its sole discretion, will determine whether to remove such content from the Service.  In the event Taniic Pets decides not to remove such reported content, your only remedies are either to avoid accessing such content, avoid accessing content from providers of such content, or to terminate your use of the Service.

6.      ORDER ACCEPTANCE

The receipt of an order number or an e-mail order confirmation does not constitute the acceptance of an order or a confirmation of an offer to sell. Taniic Pets reserves the right, without prior notification, to limit the order quantity on any item and/or to refuse service to any customer. Verification of information may be required prior to the acceptance of an order. Prices and availability of products on the Service are subject to change without notice. Errors will be corrected when discovered and Taniic Pets reserves the right to revoke any stated offer and to correct any error, inaccuracy, or omission (including after an order has been submitted). Certain orders may constitute improper use of the Service. Taniic Pets reserves the right, at its sole discretion, to refuse or cancel any order for any reason. Your account may also be restricted or terminated for any reason, at Tannic Pets' sole discretion.

7.      RISK OF LOSS

All items purchased from Taniic Pets are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

8.      PRODUCT DESCRIPTIONS

Taniic Pets attempts to be as accurate as possible. However, Taniic Pets does not warrant that product descriptions or other content on the Service are accurate, complete, reliable, current, or error-free. If a product offered by Taniic Pets is not as described, your sole remedy is to return the product.

9.      PRICING

Online prices, offers, and selection may vary between our retail stores and Service, and are subject to change. Despite our best efforts, a small number of the items in our catalog may be mispriced. If the correct price of an item is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel our order and notify you of such cancellation.

10.  PRODUCT DELIVERY SERVICE BY THIRD PARTY DRIVER

The receipt of an order number or an e-mail order confirmation does not constitute the acceptance of a confirmed delivery service for purchased products.  Upon receipt of your request for such services, Taniic Pets will email you a confirmation that your request was received and provide instructions on how you are to arrange delivery with the Third Party Driver.  Once the purchased product is in the possession of the Third Party Driver, the risk of loss of such purchased items passes onto you.  Taniic Pets is not affiliated with nor does it take responsibility for any acts or omissions of any Third Party Driver.  By engaging a Third Party Driver to provide a delivery to you, you hereby waive and agree to hold harmless Taniic Pets from any acts or omissions of such Third Party Driver.

11.  PET DELIVERY SERVICE ACCEPTANCE

The receipt of an order number or an e-mail order confirmation does not constitute the acceptance of a confirmed delivery and/or pickup service to a local veterinary clinic or veterinary hospital.  Upon receipt of your request for such services, Taniic Pets will email you a confirmation that your request was received.  Taniic Pets will email a separate confirmation that delivery and/or pick up services have been confirmed with the proper addresses for both the pickup and delivery location of the Pet as well as the delivery location of the veterinary clinic or veterinary hospital.

12.  PET TRANSPORTATION

If you use the Pet Transportation Service for delivery and/or pickup to a veterinary clinic or veterinary hospital, you agree that for the safety of both your Pet and the Third-Party Drivers, your Pet may be caged or leashed at all times during transport.  It is at the sole discretion of the Third-Party Driver to decide what type of confinement, if any, may be necessary.  Taniic Pets reserves the right in its sole discretion to refuse to provide Pet Transportation Service to your Pet for any reason at any time if it deems the transport of your Pet is or may be unsafe or dangerous to either the Pet or to Third-Party Drivers.  You may also elect to ride with your Pet to and from the veterinary clinic or veterinary hospital as a passenger of the Third-Party Driver by selecting that option when requesting the service.  If you elect to ride as a passenger with your Pet, you acknowledge that the Third-Party Driver is not an employee or agent of Taniic Pets in any way but is an independent third party who provides the transport services.  You further acknowledge and agree to assume all risk associated with the transportation of both you and your Pet by the Third-Party Driver and waive any and all claims against Taniic Pets that might arise as a result of such transportation as detailed in Sections 14 and 15.

13.  PAYMENT OF FEES

You agree that you will pay all fees and charges you incur by use of, or in connection with the use of your Account or use of the Services at the rates in effect when charges are incurred.  Taniic Pets reserves the right in its sole discretion to bill fees and charges to any of the payment methods you have included in your Account or upon use of the Services.

All information that you provide to us or our third-party payment processor must be accurate, current, and complete.  Taniic Pets does not retain or store any information provided to our third-party payment processor.  Your payment information is submitted directly to and stored by our payment’s processor, www.stripe.com. We chose our current payment processor in part because of its ability to secure your payment information in compliance with the Payment Card Industry Data Security Standard (“PCI DSS”).  You should familiarize yourself with their privacy and security policies if you have concerns about your payment information.

YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE ANY CREDIT CARD(S) OR OTHER PAYMENT MEANS USED TO INITIATE ANY TRANSACTION.  Rates may change at any time.  Taniic Pets does not provide price protection or refunds if the price for Services previously purchased by you is lowered or is part of a promotional offer.

All purchases include applicable sales taxes in effect at the time of purchase and will be based on the bill-to address provided in the Account. No customers are eligible for tax exemptions for purchases made through the Service.

14.  TERMINATION

You may terminate this Agreement by closing your Account at any time for any reason or, if you have used the Services without creating an Account, by ceasing all Services.  In such an event, Taniic Pets shall have no further obligation or liability to you under this Agreement or otherwise, and you shall be entitled to no compensation or other payment, remedy, recourse or refund.

You agree that Taniic Pets may, without prior notice, immediately terminate, cancel, or suspend your Account.  Cause for such termination, cancelation, or suspension shall include, but not be limited to, (i) breach or violations of this Agreement or other incorporated agreements, (ii) requests by law enforcement or other government agencies, (iii) discontinuance or material modification to the Service (or any part thereof), (iv) unexpected technical or security issues or problems, (v) extended periods of inactivity as determined in Taniic Pets’ sole discretion, and/or (vi) engagement by you in fraudulent or illegal activities.  Further, you agree that all terminations, cancelations, and suspensions for cause shall be made in Taniic Pets’ sole discretion and that Taniic Pets shall not be liable to you or any third party for any termination of your account or access to the Service.  If Taniic Pets terminates this agreement due to cause, then you shall not be entitled to any refund.

15.  MODIFICATIONS TO TANIIC PETS SERVICES

Taniic Pets reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.  Taniic Pets makes no representations with respect to the availability of the Service at any particular time.  You agree that Taniic Pets shall not be liable to you or to any third party for any modification, suspension, unavailability, or discontinuance of the Service (or any part thereof).

16.  INDEMNITY

You agree to indemnify and hold Taniic Pets and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from all costs, liabilities, and damages Taniic Pets incurs, including without limitation its reasonable attorneys’ fees, with respect to all claims, demands, proceedings, and actions of any kind whatsoever, made or brought by any third-party due to or arising out of your use or misuse of the Service, your connection to the Service, your violation of any term of this Agreement, or your violation of any rights of another.  In particular, you agree to indemnify and hold harmless Taniic Pets from and against any liabilities, losses, claims, and/or damages resulting or arising from any injury to you, your Pet or any third-party, including but not limited to bodily harm or death, that may result during or from the use of or reliance on the Services.

17.  DISCLAIMER OF WARRANTIES

THE TANIIC PETS SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND.  TANIIC PETS HEREBY DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT; AVAILABILITY OF THE SERVICE; LACK OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER CODE THAT MANIFESTS CONTAMINATING OR DESTRUCTIVE PROPERTIES; ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, CURRENCY, OR USEFULNESS OF ANY INFORMATION THROUGH THE SERVICE, CONTENT AND MATERIALS ON THE APPLICATION AND/OR SITE.  THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IN CONNECTION WITH THE SERVICE, CONTENT, MATERIALS AND APPLICATIONS IS BORNE BY YOU.  TANIIC PETS MAKES NO GUARANTEE AS TO THE SERVICE.  TANIIC PETS SHALL NOT BE RESPONSIBLE FOR ANY LOSS OF DATA OR OTHER MATERIAL. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

TANIIC PETS DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD-PARTY PROVIDERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED OR OBTAINED FROM THIRD-PARTY PROVIDERS IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

18.  LIMITATION OF LIABILTY

“You are aware and understand that the services arising from Your use of this Application, Your role as driver in accordance with Your IC Agreement, and this agreement with Taniic Pets (“Services”), are potentially dangerous and involve the risk of serious injury, disability, death, and/or property damage, including, but not limited to, animal bites.” YOU EXPRESSLY UNDERSTAND AND AGREE THAT TANIIC PETS AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU AND/OR ANY OTHER PERSON FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA,  LOSSES RELATED TO INFORMATIONAL SERVICES OR MEDICAL SERVICES PROVIDED BY THIRD PARTY VETERINARIANS AND/OR NON-VETERINARIAN PROVIDERS, OR OTHER INTANGIBLE LOSSES, THAT ARISE OUT OF OR ARE RELATED TO THE SERVICE, ITS CONTENTS, OR TO ANY BREACH OF THIS AGREEMENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IN THE EVENT OF FAULT, TORT (INCLUDING NEGLIGENCE) OR STRICT OR PRODUCT LIABILITY.  YOU FURTHER SPECIFICALLY ACKNOWLEDGE THAT TANIIC PETS IS NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD TANIIC PETS LIABLE, FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OTHER USERS OF THE SERVICE AND OPERATORS OF EXTERNAL SITES/APPLICATIONS AND SERVICES.  SPECIFICALLY, TANIIC PETS DISCLAIMS ALL LIABILITY IN CONNECTION WITH ANY VETERINARY OR OTHER SERVICES THAT YOU OR ANYONE CHOOSES TO ENGAGE BY USING THE SERVICES.  TO THE FULLEST EXTENT ALLOWED BY LAW, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH TANIIC PETS IS TO STOP USING TANIIC PETS, THE SERVICE, AND TO CANCEL YOUR ACCOUNT. YOU HEREBY HOLD US HARMLESS AND RELEASE US AND OUR AFFILIATES FROM ANY AND ALL OBLIGATIONS, LIABILITIES AND CLAIMS.  SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

19.  TRADEMARK INFORMATION

You agree that all of Taniic Pets’ trademarks, trade names, service marks and other Taniic Pets logos and brand features, and product and service names are trademarks and the property of Taniic Pets LLC (the “Taniic Pets Marks”). Without Taniic Pets’ prior permission, you agree not to display or use in any manner the Taniic Pets Marks.

20.  CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT

Taniic Pets respects the intellectual property of others, and we ask our users to do the same. Taniic Pets will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.  Only the intellectual property rights owner or person authorized to act on behalf of the owner can report potentially infringing content.  If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide written notification to Taniic Pets’ Copyright Agent.  To be an effective, pursuant to Title 17, United States Code, Section 512 (c)(3)(A), any copyright infringement notification must include all of the following information:

a.             an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

b.            a description of the copyrighted work or other intellectual property that you claim has been infringed;

c.             a description of where the material that you claim is infringing is located on the site or application;

d.            your address, telephone number, and email address;

e.             a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

f.              a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.

Taniic Pets reserves the right to remove Content alleged to be infringing without prior notice, at our sole discretion, and without liability to you.  In appropriate circumstances, Taniic Pets will also terminate a user’s account if the user is determined to be a repeat infringer.

21.  ELECTRONIC COMMUNICATION

When you use the Service, or send emails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically.  You consent to receive communications from us electronically.  You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing.

22.  SOCIAL MEDIA & THIRD-PARTY PLATFORMS

Social Media: If the Service offers a tool or service that allows us to access or use any profile or other information about you that you have provided to Facebook or another third-party social media website (each a “Social Media Site”) and you decide to use such tool or service, you acknowledge and agree that:

·         The information or content that is a part of your Social Media Site profile, which you have designated as “public” (or a similar designation) (with such information or content and referred to herein as “Social Media Content”), may be accessed and used by us in connection with the Service.

·         The Social Media Content will be considered user-generated content under this Agreement and both you and we shall have the same rights and responsibilities as you that we have with respect to user-generated content under this Agreement.

·         In the event that the Social Media Content was for any reason misclassified with a public or similar designation or is otherwise inaccurate or to which you do not agree with for any reason, you agree to work with the Social Media Site to make any changes or resolve any disputes and acknowledge that we will not be able to provide you with recourse; and

·         The operation of your profile and account with and on the Social Media Site shall continue to be governed by the terms and conditions and privacy policy of such Social Media Site.

Links to Third-Party Platforms:  It is our goal to provide increased value to our users. Therefore, the Service might offer you links to other sites on the Internet that are owned and operated by third parties. Such linked platforms are independent from Taniic Pets and Taniic Pets has no control over the content of such platforms. Those platforms are not governed by these Terms but by other policies that may differ from these Terms. In visiting any third-party platforms, you do so at your own risk and you assume all responsibility in that regard. We make no representations or warranties regarding, and do not endorse, any third-party platform or any content on such platform. We encourage you to review the terms of use of each platform you visit before using it. Taniic Pets is not liable for and makes no warranty or representation whatsoever as to the accuracy, timeliness and/or completeness of the information contained on such platforms.

The links which we might place on our Service do not imply that we sponsor, endorse or are affiliated or associated with, or have been legally authorized to use any trademark, trade name, service mark, design, logo, symbol or other copyrighted materials displayed on or accessible through such platforms.

23.  NON-SOLICIATION POLICY AND FEEDBACK

In your communications with us or use of the Services please keep in mind that we do not seek any unsolicited ideas or materials for products or services, or even suggested improvements to products or services (collectively, “Unsolicited Ideas and Materials”). We will be free to use or copy all or a portion of any Unsolicited Ideas and Materials you provide to us, including any ideas, inventions, concepts, techniques or know-how disclosed, for any purposes. Such purposes may include disclosure to third parties and/or developing, creating and/or marketing goods or services.

We welcome your feedback regarding many areas of our business. If you want to send us your feedback, we simply request that you send it to us at www.taniicpets.com. Please provide only specific feedback on our Services. Keep in mind that we assume no obligation to keep any feedback you provide confidential, and we reserve the right to use or disclose such information in any manner.

24.  MISCELLANEOUS

A. Entire Agreement. This Agreement constitutes the entire agreement between you and Taniic Pets and governs your use of the Service.  This Agreement supersedes and replaces any prior version of this Agreement between you and Taniic Pets with respect to the Service.  You also may be subject to additional terms and conditions that may apply when you use or purchase certain other parts of the Service, affiliate services, third-party content or third-party software.

B. Choice of Law and Forum. You and Taniic Pets each agree that this Agreement and the relationship between the parties shall be governed by the laws of the State of Illinois without regard to conflict of law provisions and that any and all claims, causes of action or disputes (regardless of theory) arising out of or relating to this Agreement, or the relationship between you and Taniic Pets, shall be brought exclusively in the courts of the State of Illinois located in Chicago, Illinois. You and Taniic Pets agree to submit to the personal jurisdiction of the courts located within Illinois, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

C. Waiver and Severability. The failure of Taniic Pets to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

D. Section Titles.  The section titles in the Agreement are for convenience only and have no legal or contractual effect.

E. Relationship.  No relationship shall exist between you and Taniic Pets in the nature of a joint venture, common enterprise, partnership, franchise, or agency. You agree that you will not take any action, make any representation, or allow any condition to exist or continue which could imply or create an agency or other relationship between you and Taniic Pets other than the contractual relationship created under these Terms and Conditions. You use this Service solely on your own behalf, not on behalf of or for the benefit of Taniic Pets nor subject to any direction by Taniic Pets besides the enforcement of these Terms and Conditions.

Welcome to the Taniic Pets LLC (“Taniic Pets”) website, hosted by Taniic Pets and operated by XXX.  This Terms and Conditions of Use Agreement (the “Agreement” or “Terms of Service”) describes the terms and conditions applicable to your use of the XXX website (the “Site”) and Taniic Pets’ products available therein as a service offering (the “Products”) (collectively, the “Services”). In this Agreement, we refer to Taniic Pets and its agents, subsidiaries, affiliates, officers, employees, and partners as “Taniic Pets” or “us” or “we;” andwe refer to you as “Customer” or “you,” including your agents and affiliates if any, and any other person accessing your TaniicPets Products. Taniic Pets and Customer are referred to in this Agreement individual as a “Party” and collectively as the “Parties.” 

Your acceptance of, and compliance with, these Terms of Service is a condition to your use of the Site. By accessing or using in any manner the Site, you hereby agree that you are at least eighteen (18) years of age and you acknowledge that you have read and agree to be bound by these Terms of Service. Please also consult our Privacy Policy [XXX] for a description of our privacy practices and policies, including how we collect and handle your personal information.  The terms of the Privacy Policy are incorporated within the terms of this Agreement.  If you do not agree to be bound by these terms, you are not authorized to access or use this Site. 

We reserve all rights to change these Terms of Service. Please check these Terms of Service periodically for changes and read them carefully. Your continued use of our Site following the posting of changes to these Terms of Services will mean you accept those changes, except where such automatic consent conflicts with privacy laws. See our Privacy Policy [XXX] for additional information.  

A. Access and Use
1. Provision of Access: Taniic Pets grants you a limited license to access the Site subject to the terms and conditions set forth in this Agreement. If you choose to subscribe to any Products, Taniic Pets grants you a license to access such services subject to and conditioned upon your payment of the applicable fees and your compliance with all other terms and conditions of this Agreement, the Privacy Policy, the terms and conditions and privacy policies of the respective Products, and any other rules and requirements communicated to you by Taniic Pets. You acknowledge and agree that Taniic Pets may modify, update, and otherwise change the Services at any time and in its sole discretion.  
2. Account: In order to access any one or more Products of the Services, you will be required to register an account (“Account”). When creating, registering for, or updating an Account, you are required to provide us with certain personal information, including your name, e-mail address, address, phone number, financial information, etc.  This information will be held and used in accordance with our Privacy Policy at [XXX] and the privacy policies of the respective Products as applicable. If you provide any information that is untrue, inaccurate, not current, or incomplete, or Taniic Pets has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Taniic Pets has the right to suspend or terminate your account and refuse any and all current or future use of the Taniic Pets’ Services (or any portion thereof). You are responsible for maintaining the confidentiality of the password and you are fully responsible for all activities that occur under your Account.You agree to immediately notify Taniic Pets of any unauthorized use of your password or Account or any other breach of security.  
3. Authorized Users: You agree to only provide access to the Software to the users authorized by your subscription level (each an “Authorized User”). Authorized Users must be at least eighteen (18) years or older to access or use the Services. An Authorized User includes your employee(s) or your investor(s) or any other individual or entity to whom you have provided access to the Site and Services under your account for legitimate business purposes. The Customer is solely responsible for Authorized User activities and interaction with the Products. Customer shall ensure all Authorized Users are aware of any and allrestrictions of use in this Agreement, the Privacy Policy, and any other rules or requirements. Customer shall cause Authorized Users to comply with such provisions. Customer is further solely responsible for all actions taken by and interactions with Authorized Users, including providing any and all required disclosures governing an Authorized User’s interaction with the Services, and any applicable Privacy Policy or further obligations required by Taniic Pets or any applicable law. Any obligation imposed on Customer by the terms of this Agreement shall be equally applicable to any Authorized Users.  
4. Use Restrictions: Customer shall use the Services only as Taniic Pets has intended their use and must comply with all State, Federal, and international laws and regulations.Customer shall not use the Services for any purposes beyond the scope of the access granted in this Agreement. Customer shall not at any time, directly or indirectly, and shall not permit any third-party to (i) copy, modify, or create derivative works of the Services, in whole or in part; (ii) reverse engineer, disassemble, decompile, decode, adapt, decipher or otherwise attempt to derive the source code or object code for any underlying software or other intellectual property used in the Services, or gain access to any software component of the Services, in whole or in part; (iii) upload or use the Services to share viruses, spyware, or any other computer code, files or programs designed to interrupt, destroy, affect, hinder or limit the functionality of the Services, any other operations of TaniicPets, or the resources of other users of Services, (iv) interfere with, disrupt or circumvent any security feature of the Services or any feature that restricts or implements limitations on the use of or access to the Services, (v) attempt to get password, account information or other private or personal information from another user or from Taniic Pets or (vi) use the Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other rights of any person, or that otherwise violates any law, regulation, or other legal requirements.  
5. Reservation of Rights: Except for the limited license to access the Services identified in Section A(1), Customer acknowledges that nothing contained in this Agreement shall be construed as granting or conferring, by implication, estoppel or otherwise, any right, title, or interest to any intellectual property, including any (i) inventions (whether patentable or not in any country), patents, patent applications, invention disclosures, improvements, trade secrets, proprietary information, know-how, information, or technical data; (ii) copyright-protected works, copyright registrations, mask works, mask work registrations or applications in the United States or any foreign country; (iii) trademarks, trademark registrations, service marks, logos or applications therefore in the United States or any foreign country; (iv) trade secrets; or (v) any other tangible or intangible proprietary rights anywhere in the world.  
6. Accessibility: Customer acknowledges and agrees that at times the Services may be inaccessible or inoperable for any reason whatsoever, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs which Taniic Pets may undertake from time to time without notice to you; or (iii) causes which are beyond the control of Taniic Pets or which are not reasonably foreseeable. Taniic Pets further reserves the right to refuse any requests to access account information in the event of a user’s death or legal incapacitation, absent an express legal obligation to provide such information or access.  
7. Suspension: Notwithstanding anything to the contrary in this Agreement, Taniic Pets may temporarily suspend access to the Services by Customer, any Authorized Users, and any other third-party for security purposes, to prevent illegal or fraudulent activity, to comply with the requests of any legal agency or government entity, or if Customer or its Authorized Users violate the Agreement, the Privacy Policy, any referral agreement, or any other rules or requirements communicated to you by Taniic Pets.  
8. Third-Party Service Providers. The provider may from time to time and in its sole discretion engage other service providers to assist in the performance of the Services, such as web-hosting providers, payment processors, and other third-parties. Customer shall abide by the terms of use and other requirements associated with the Services provided by such third-parties in connection with the Services.  
B. Customer Responsibilities
1. Liability: Customer acknowledges that Customer is solely responsible and liable for all use of the Services, including by Customer or any Authorized User, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement. Without limiting the generality of the foregoing, Customer is responsible for all acts and omissions of Authorized Users, and any act or omission by an Authorized User that would constitute a breach of this Agreement if taken by Customer, will be deemed a breach of this Agreement by Customer. Customer is further solely responsible for compliance with all applicable laws relating to Customer’s or any Authorized User’s use of the Services.  
2. Equipment: Customer shall be responsible for providing, maintaining, and ensuring that Customer and its Authorized Users, if any, are able to access and use the Services, including compatible hardware, software, internet access, security software, backup devices or services, and any other requirements. Taniic Pets shall have no responsibility to provide any additional software or hardware. Customer, on behalf of itself and any of its Authorized Users, agrees that Taniic Pets shall have no responsibility for any data loss or other damage or loss suffered in connection with Customer’s use of the Services, including any failure to provide adequate security or backup devices or services.  
3. Correct Information: Customer is responsible for ensuring Taniic Pets has accurate and current information for Customer’s account, including current contact and payment information. Customer is further responsible for regularly reviewing the associated e-mail account for any communications from Taniic Pets.  
4. Account Security: If Customer is provided with a user name, password, credentials file, or any other piece of information as part of any security procedure (“Credentials”), including any such information of an Authorized User, Customer must treat such information as confidential, and must not disclose Credentials to any other person or entity. Customer acknowledges that its account and Credentials are personal to Customer and further agrees not to provide any other person with access to the Services or portions of it using Customer’s user name, password, or other security information. Customer shall notify TaniicPets immediately of any unauthorized access to or use of Customer’s Credentials or any other breach of security. Taniic Pets has the right to disable any user name, password, credentials file, or other identifiers at any time, whether chosen by Customer or provided by Taniic Pets.  
5. Compliance with Laws: Customer and all Authorized Users shall use the Services only for lawful purposes and shall conduct its business, and any offering of securities that uses the Services, in accordance with all applicable laws and regulations, including but not limited to all applicable Federal, State, and international laws and regulations governing the offer and sale of securities, money laundering, and counter-terrorism.  
C. Support

Taniic Pets shall make commercially reasonable efforts to provide adequate support services for the Services.  Notwithstanding the foregoing, this Agreement does not entitle Customer to any guaranteed level, availability, or turnaround time of support services for the Services.  

D. Payment and Fees
1. Fees: Customer agrees to pay all applicable fees including, without exclusion, the commission fees, and any other fees, charges, or costs that you agree to purchase as part of the Services (“Fees”). Customer agrees to pay for all charges and usage fees incurred prior to termination or cancellation of the Agreement. Refunds will not be issued unless required by law. This payment obligation shall survive the termination or cancellation of this Agreement for any reason whatsoever.  
2. Payment and Automatic Payment: The Customer’s payment information will be processed and stored through a third-party payment processor. All paid account holders must maintain at least one valid payment method for the payment of Fees, which are described in your customized fee schedule. All Fees are calculated and billed to the Customer on a monthly or annual basis depending upon your choice and are due immediately upon receipt. Fees shall be charged or debited from the saved payment information on the monthly or yearly anniversary of the initial purchase date, or the last day of the month in the case the anniversary date does not exist. (e.g., if the initial purchase was made on January 31, the February monthly payment would be processed on February 28).  
3. Cancellation: You may cancel your subscription and automatic payment by clicking the “Cancel Account” button from your account screen or by e-mailing us atXXX. Cancellation does not entitle you to the refund of any previously paid fees. You will not receive a prorated refund for the remainder of the subscription term. It is Customer’sobligation to communicate cancellation or termination of the Services to any and all Authorized Users.  
4. Renewal: At the end of each annual or monthly subscription period (as applicable), the Services will automatically renew for an additional year or month, respectively, unless you request cancellation within 30 days prior to the renewal. If you wish to change your subscription level or term, you must contact us at XXX] and the account administrator must change the settings in the account administration console provided as part of the Services.  
5. Changes to Fees: The Customer acknowledges that TaniicPets may change the Fees at any time. In the event of such a change, Taniic Pets will provide notice to the Customer via the e-mail address associated with the Customer’s account at least thirty (30) days in advance of the effective date of the change. Customer’s continued use of the Services indicates its acceptance of any changes to the Fees. The Customer is solely responsible for all applicable taxes and will be charged for taxes when required by law.  
6. Verified Customer Record/Customer Record Language: In order to use the payment functionality of our application, you must open a “XXX” account provided by XXX and you must accept the XXX Terms of Service and Privacy Policy. Any funds held in the XXX account are held by XXX’s financial institution partners as set out in the XXX’sTerms of Service. You authorize us to collect and share with XXX your personal information including full name, [date of birth, social security number, physical address,] e-mail address and financial information, and you are responsible for the accuracy and completeness of that data. You understand that you will access and manage your XXXaccount through our application, and XXX account notifications will be sent by us, not XXX. We will provide Customer support for your XXX account activity, and can be reached at XXX.  
7. Receive Only Language: You expressly authorize TaniicPets’ service provider, XXX to originate credit transfers to your financial institution account. You authorize us to collect and share with XXX your personal information including full name, e-mail address and financial information, and you are responsible for the accuracy and completeness of that data. XXX’s Privacy Policy is available at XXX.  
E. Data
1. Information Collection:  Taniic Pets may collect information regarding the usage of the Services by Customer. Customer consents to Taniic Pets’ collection and use of such information and sharing with third-party service providers for purposes of providing the Services and for improving the services subject to applicable privacy laws, if applicable. All information collected by Taniic Pets is treated according to the Privacy Policy. Notwithstanding the foregoing, Taniic Pets will not use any of the Customer’s proprietary data, such as leads or other Customer information, for the financial benefit of TaniicPets or to any third-party. More information on our information collection practices can be found in our Privacy Policy available at XXX.  
2. Confidential or Proprietary Information or Content:  TaniicPets agrees to use commercially reasonable measures to maintain the confidentiality of all confidential or proprietary data provided by Customer and its Authorized Users, including but not limited to investor data, Customer information, potential Customer information, and leads gathered by Customer.  
3. Ownership: As between Taniic Pets and Customer, Customer shall retain any preexisting ownership rights to the data and information uploaded, entered, or otherwise provided by Customer through the Services.  
F. Intellectual Property
1. Trademarks:  Certain trademarks, service marks, and logos, including without exclusion the Taniic Pets trademark and associated logo (the “Trademarks”) used and displayed in connection with the Services are owned by Taniic Pets. The Services may also contain or refer to third-party trademarks, trade names, product names, and logos that may be registered trademarks of their respective owners. Under no circumstances may Customer use or copy any of the Trademarks. Nothing herein should be construed as granting any license or right to use any Trademarks displayed in connection with the Services without TaniicPets’ express written permission.  
2. Copyrighted Works: All content provided in association with the Services and this Agreement, including, but not limited to, computer software, images/video, electronic art, graphics, sounds/audio, data, communications programs, and user interfaces, executable code, computer code, and data formatted, organized, and collected in a variety of forms, including layouts, pages, screens, and databases and any and all other copyright-protected work associated with the Services (“Copyrighted Works”) are exclusively owned by Taniic Pets and are protected by the U.S. and international copyright laws. Customer agrees it will not directly or indirectly copy, reproduce, modify, create derivative works from, distribute, or publicly display the Copyrighted Works without the prior express written permission of Taniic Pets.  
3. Feedback:  If Customer or any of its employees or Authorized Users sends or transmits any communications or materials to Taniic Pets by mail, e-mail, telephone, or otherwise, suggesting or recommending changes to the Services, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like (“Feedback”), Taniic Pets is free to use such Feedback irrespective of any other obligation or limitation between the Parties governing such Feedback. Taniic Pets is free to use, without any attribution or compensation to any party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although TaniicPets is not required to use any Feedback.  
4. User Content:  The Services may allow you to upload text, graphics, images, and other material (collectively “User Content”) and permits the hosting, sharing, or publishing of such User Content. Taniic Pets reserves the right to impose restrictions on the User Content you upload, including, but not limited to, the amount of User Content that can be uploaded and the length or expiry period for the User Content. You shall be solely responsible for the User Content you submit and the consequences of Taniic Pets posting, display, distribution, or publishing of such User Content. In connection with any User Content you submit, you affirm, represent, and warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use it and authorize Taniic Pets to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Content to enable inclusion and use of the User Content in the manner contemplated by this Agreement; and (ii) you have the written consent, release, or permission to use the name, image, or likeness of each individual identified in the User Content. IN CONNECTION WITH USER CONTENT, YOU FURTHER AGREE THAT YOU WILL NOT SUBMIT MATERIAL THAT IS COPYRIGHTED, PROTECTED BY TRADE SECRET, OR OTHERWISE SUBJECT TO THIRD-PARTY PROPRIETARY RIGHTS, INCLUDING PRIVACY AND PUBLICITY RIGHTS, UNLESS YOU ARE THE OWNER OF SUCH RIGHTS OR HAVE PERMISSION FROM THEIR RIGHTFUL OWNER TO POST THE MATERIAL AND TO GRANT TANIIC PETSTHE NECESSARY RIGHTS GRANTED IN THIS SECTION. YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS TANIIC PETS FOR ANY AND ALL DAMAGE OR LIABILITY TANIIC PETS INCURS AS A RESULT OF YOUR VIOLATION OF THIS SECTION.  
5. DMCA Copyright Notice:  Taniic Pets respects the intellectual property rights of others and it is Taniic Pets’policy to expeditiously process and review any notices of claimed infringement of copyright or other applicable intellectual property laws. Any notices of claimed infringement should be sent to Taniic Pets’ Designated Agent at XXX, and must contain all of the following: (i) a signature (physical or electronic) of the copyright owner or a person authorized to act on behalf of the copyright owner; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of the material that you claim is infringing and is to be removed or have access to same disabled, and information sufficient to permit Taniic Pets’ administrators to locate the material; (iv) information sufficient for us to contact you, such as address, telephone number and e-mail address; (v) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the owner of a copyright that is allegedly infringed. If you believe any content or materials posted or uploaded by you were improperly removed or disabled, you may submit a Counter-Notification to Tanic Pets’ Designated Agent at XXX with all of the following: (i) your signature (physical or electronic); (ii) a description of the work at issue; (iii) a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and (iv) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which the address is located, and that you will accept service of process from the person who provided notification of the alleged infringement.  
G. Disclaimer of Warranties

Taniic Pets tries to keep the Services accessible, error-free, and safe, but cannot guarantee that the Services will be secure or that access to or use of the Services will be uninterrupted or free of errors or omissions. Taniic Pets does not warrant that the Services will operate error-free, or that the Services and TaniicPets’ servers are free of computer viruses or other harmful components. Taniic Pets uses reasonable care and skill in providing the Services, but beyond that, the Services are provided without any warranties of any kind.  Customer is responsible for implementing sufficient procedures and checkpoints to satisfy Customer’s particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to the Services for any reconstruction of any lost data.  TANIIC PETS AND ITS AGENTS, OFFICERS, DIRECTORS, EMPLOYEES, SUCCESSORS, ASSIGNS, AND AFFILIATES PROVIDE THE SERVICES “AS IS WITH ALL FAULTS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, AND TANIIC PETS HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES WHETHER EXPRESS OR IMPLIED AND EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT.  TANIIC PETS DOES NOT WARRANT AGAINST INTERFERENCE WITH CUSTOMER’S ENJOYMENT OF THE SERVICES, THE AVAILABILITY OF CONTENT, THAT THE FUNCTIONS CONTAINED IN THE SERVICES WILL MEET CUSTOMER’S REQUIREMENTS, THAT THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS IN THE SERVICES WILL BE CORRECTED, OR THAT THE FUNCTIONS CONTAINED IN THE SERVICES WILL FUNCTION WITH OTHER SOFTWARE OR HARDWARE, OR WITHIN A SYSTEM.  NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TANIIC PETS OR A TANIIC PETS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION MAY NOT APPLY.  

H. Limitation of Liability
1. IN NO EVENT WILL TANIIC PETS, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH CUSTOMER’S USE, OR INABILITY TO USE, THE SERVICES OR ANY CONTENT ASSOCIATED WITH THE SERVICES, OR SUCH OTHER SITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. THESE EXCLUSIONS OR LIMITATIONS WILL APPLY REGARDLESS OF WHETHER OR NOT TANIIC PETS HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED OR LIMITED AS SET FORTH ABOVE, IN NO EVENT SHALL TANIIC PETS BE LIABLE FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, IN EXCESS OF THE AMOUNT ACTUALLY PAID BY CUSTOMER TO TANIIC PETS UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING ANY SUCH CLAIM.  
2. Links:  The Services may provide links to other websites maintained by third-parties. You acknowledge and agree that such links are provided for your convenience only and do not reflect any endorsement, affiliation, relationship, or sponsorship by Taniic Pets with respect to the provider of such linked site or the quality, reliability, or any other characteristic or feature of such linked site. You further acknowledge and agree that Taniic Pets is not responsible in any manner (including without limitation with respect to any loss or injury you may suffer) for any matter associated with the linked site, including without limitation, the content provided on or through any such linked site or your reliance thereon. In addition, you should be aware that your use of any third-party site is subject to the terms and conditions applicable to that site, including the privacy policies (or lack thereof) of such site. If a third-party links to the Services, it is not necessarily an indication of an endorsement, affiliation, relationship, or sponsorship by or with Taniic Pets. Taniic Pets may not even be aware that a third-party has linked to the Services.  
3. Third-Party Content:  Any other content not owned by Taniic Pets is owned by its respective owner. You acknowledge and agree that such content is provided by its owner and does not reflect any endorsement, affiliation, relationship, or sponsorship by Taniic Pets with respect to the provider of such content. You further acknowledge and agree that Taniic Pets is not responsible in any manner (including without limitation with respect to any loss or injury you may suffer) for any content provided by third-parties including, without limitation, your reliance thereon. TANIIC PETS MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO ANY THIRD-PARTY CONTENT.  
I. Indemnification

Customer agrees to indemnify, hold harmless and defend TaniicPets, its agents, officers, directors, employees, successors, assigns, and affiliates, from and against any action, cause, claim, damage, debt, demand or liability, including reasonable costs and attorneys’ fees, asserted by any person, arising out of or relating to (i) Customer’s or any Authorized User’s use of the Services, including but not limited to anyone using Customer’s account or Credentials; (ii) breach of this Agreement by Customer or anyone using Customer’s account or Credentials; (iii) any information used, stored, or transmitted in connection with Customer’s account or Credentials; (iv) breach of the rights of any third-party, including but not limited to privacy, publicity, intellectual property, or other proprietary rights by Customer or anyone using Customer’s account or Credentials; or (v) violation of any law, regulation, or other legal requirements.  

J. Termination; Cancellation
1. Term:  This Agreement shall continue in full force until terminated or canceled pursuant to the provisions below.  
2. Termination by Taniic Pets:  Taniic Pets shall have the right to terminate this Agreement (i) for any reason whatsoever by providing thirty (30) days’ notice to Customer; and (ii) immediately for any material breach, other than non-payment of Fees; or (iii) upon fifteen (15) days’ notice to the e-mail account associated with Customer’s account for non-payment of Fees. Notwithstanding the foregoing, Taniic Pets reserves the right, in its sole discretion and without notice, at any time and for any reason, to remove, modify, suspend, or disable access to all or any portion of the Services.  
3. Termination by Customer:  Customer may terminate the Agreement for any reason whatsoever by providing thirty (30) days’ notice to Taniic Pets by e-mail at XXX. The Customer shall be responsible for all Fees incurred prior to and during the thirty-day notice period.  
4. Survival:  All provisions of this Agreement and any referral agreement relating to indemnification, disclaimers, limitations, intellectual property, and payment obligations for Fees incurred prior to and during any notice period shall survive termination of this Agreement and/or such referral agreement for any reason whatsoever.  
K. Governing Law; Jurisdiction; Mandatory Binding Arbitration

This Agreement shall be governed by Illinois law. Customer agrees to resolve any disputes or claims arising out of or related to this Agreement or the Services through final and binding arbitration by a single arbitrator. This includes disputes arising out of or relating to the interpretation or application of this “Mandatory Arbitration Provision” section, including its enforceability, revocability, or validity. Notwithstanding the foregoing, either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services, or violation of any intellectual property. Any arbitration to resolve claims arising under or relating to this Agreement, or any permissible lawsuit permissible pursuant to this section, shall be brought in Cook County, in the State of Illinois and its respective federal or state courts as applicable and each Party irrevocably submits to the exclusive jurisdiction of such arbitration and courts in any such suit, action, or proceeding. This provision shall not apply to consumers in countries that require agreements to be governed by the local laws of the consumer’s country.  

L. Miscellaneous
1. Right to Monitor:  Customer acknowledges that Taniic Petshas the right to monitor the use of the Services to ensure compliance with the Agreement.  
2. Waiver:  No waiver of any term, provision, or condition of this Agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or shall constitute, a waiver of any other term, provision, or condition hereof, whether or not similar, nor shall such waiver constitute a continuing waiver of any such term, provision or condition hereof. No waiver shall be binding unless executed in writing by the party making the waiver.  
3. Severability:  If any provision of this Agreement is determined to be illegal or unenforceable, then such provision will be enforced to the maximum extent possibleand the other provisions will remain fully effective and enforceable.  
4. Entire Agreement:  This Agreement, any referral agreement between Customer and Taniic Pets, and the Privacy Policy, constitute the complete and exclusive agreement between Customer and Taniic Pets, and supersedes any and all prior or contemporaneous communications, representations, statements, and understandings, whether oral or written, between Customer and Taniic Pets.  
5. Conflict:  Except as prohibited by privacy laws applicable to the Customer, in case of any conflict between the language of this Agreement on the one hand and the language of the Privacy Policy or any referral agreement between Customer and Taniic Pets, on the other hand, the language of the referral agreement between Customer and Taniic Pets shall prevail.  
6. Changes:  Taniic Pets may, at its sole discretion, modify or replace the terms of this Agreement or the Privacy Policy by posting the updated terms. Unless otherwise indicated by Taniic Pets, any changes will become effective on a prospective basis from the date of posting. It is the Customer’s responsibility to check the Terms of Service and Privacy Policy periodically for changes. Customer’s continued use of the Services following the posting of any changes to this Agreement or Privacy Policy constitutes acceptance of those changes, except where such automatic consent conflicts with privacy laws and then the respective privacy law prevails. See our Privacy Policy [XXX] for additional information.  

2
